Corporate Counsel Qualifications & Experience:

  •  A self-motivated team player with the ability to identify and resolve legal issues, balance legal and business concerns, and draft and negotiate agreements in a global environment.
  • Manage various projects and deadlines.
  • Provide clear legal advice and practical business-focused solutions enabling the business to achieve its objectives while preserving and protecting the Company's integrity and reputation.
  • Ability to work well both independently and as part of a team; excellent leadership and collaboration skills; excellent writing, oral communication, analytical, organizational, and strategic thinking skills; ability to work effectively in a global environment; and ability to multi-task various matters related to several areas of the law.
  • Ability to develop practical solutions to complex legal questions.


Specific Responsibilities:

  • Provide global legal advice for the company's business units in the areas of Corporate Governance, Finance, Human Resources, Intellectual Property, Information Technology, Sales and Purchasing,
  • Draft and negotiate legal terms and agreement with OEMs and automotive players
  • Provide guidance and legal support for securities matters including the Securities Act of 1933 and Securities Exchange Act of 1934, corporate governance, public securities offerings, SEC/SOX compliance and mergers and acquisitions transactions preferred.
  • Develop Best Practices Policies to insulate the company from liability.
  • Offer counsel on a variety of legal issues.
  • Research unique legal issues impacting the organization by identifying applicable statutes, judicial decisions and codes.
  • Negotiate and draft a wide variety of commercial contracts.
  • Manage and assist with all aspects of the litigation process, including assessing risk, developing strategy, partnering with outside counsel, reviewing pleadings, discovery, etc.
  • Provide advice and guidance related to government inquiries including civil rights, environmental and regulatory agencies.
  • Manage commercial sales, marketing activities, and intellectual property matters.
  • Provide clear legal advice and practical business-focused solutions enabling the business to achieve its objectives while preserving and protecting the Company's integrity and reputation.
  • Keep abreast of legislative changes that may affect the company and its affiliates and develop and implement the appropriate policies.
  • Assist with preparation of pre-litigation work to minimize risks and maximize legal rights.
  • Partnering with outside counsel on legal matters to develop strategies consistent with company philosophy and minimizing outside counsel legal costs.
  • Assist the Legal Team on employment matters, investigations of, and drafting responses to, agency complaints.
  • Provide support for all global legal aspects of the company including corporate governance, corporate securities and finance, commercial, compliance, employment, real estate.
  • Support commercial negotiations with automotive partners, suppliers, customer
  • Negotiate and draft a wide variety of commercial contracts.
  • Manage and assist with all aspects of the litigation process, including assessing risk, developing strategy, partnering with outside counsel, reviewing pleadings, discovery,
  • Manage responses to governmental inquiries.
  • Manage or assist in managing the offense, defense and negotiation of a wide variety of commercial and employment related matters and disputes.


Requirements

  • J.D. degree from an accredited U.S. law school with a strong academic record
  • 4-7 years of experience in a law firm or in-house role preferably with 3 years of law firm experience
  • Experience in a tech, automotive related company or hyper-growth company preferred
  • Admission to a U.S. bar
  • Excellent strategic and analytical skills, strong communication and presentation skills, and the ability to work well independently and on a team
  • Excellent judgment, particularly in determining the significance of legal matters in tandem with business objectives
  • Strong interpersonal skills, including diplomacy and flexibility, and the ability to interface effectively with personnel at all levels throughout the Company
  • Ability to write in a universally-understandable and persuasive manner
  • Ability to explain difficult legal concepts in plain terms Creative and out-of-the-box thinking ability
  • Strong quantitative capabilities
  • Excellent communication skills (written and oral) and very good interpersonal skills
  • Willingness to travel
